What Mintage Pay is
Mintage Pay is a service of Mintage Pay LLC, a Wyoming limited liability company ("Mintage Pay", "we"). It provides software that lets online merchants accept the USDC and USDT stablecoins on the Base, Polygon, Solana and TRON networks. Mintage Pay is a software and services provider. We do not take custody of, transmit, exchange or hold funds for merchants or their customers.
When a customer chooses to have the network fee covered, the customer signs a transfer in their own wallet that moves the stablecoin directly from that wallet to the order's payment address, and Mintage Pay submits that signed transfer to the network and pays the network fee. Mintage Pay never receives or controls the funds in this process.
How payments work
- Your customers pay directly to receiving addresses that you control. Mintage Pay never receives those funds.
- You are responsible for your wallet, its keys and its backups. We never ask for seed phrases or private keys and cannot recover them.
- Mintage Pay has read-only access to your store's invoices so it can calculate fees. It cannot spend from your wallet.
- We check paying wallet addresses, and the payout addresses you set, against public US sanctions lists (OFAC). A payment from a listed address is marked "held for review": your store is told not to treat it as paid, and you and we are notified. Payout addresses on those lists are refused. What you do with funds that reached your wallet from a listed address is your legal responsibility; take legal advice.
Fees
You pay a fee of 1% of each payment received, unless a different rate is agreed in writing. On Base and Polygon the fee is split off automatically by the payment's on-chain contract, and on Solana it is a second transfer inside the customer's payment, so you receive the payment minus the fee. On TRON, customers pay your address directly and the fee is deducted from fee credit you buy in advance; TRON is offered at checkout only while you have enough credit. Stores approved for bank transfer receive those payments directly into their own bank account; Mintage Pay never receives or holds that money. You record each bank payment in the dashboard when it arrives, and the fee on the amount you record is deducted from your fee credit. Fees on completed payments are not returned when you refund a customer. Rate changes apply only to payments created after the change and are announced in advance.
Your responsibilities
- You sell only legal goods and services and comply with the laws that apply to your business, including tax, consumer protection, sanctions and anti-money-laundering rules.
- You give accurate information when you apply and keep it up to date.
- You handle refunds, disputes and customer support for your own sales. You answer a customer's refund request within 3 days, and you keep proof of delivery (carrier, tracking number and date) for orders paid by card.
- Card payments are run by our card providers, who handle card disputes. We may pause card payments for a store with many card disputes, and refuse card payments on every Mintage Pay store from a customer who disputed a card charge. Crypto payments are not affected.
- For product links: you are responsible for your product descriptions and images, for shipping and delivering what you sell, and for any sales tax; prices you set are what customers pay. You use your customers' details only to fulfil their orders.
We may decline an application, or suspend or end service, if we reasonably believe a store breaks these terms or the law. We may remove a product link or its content at any time if we believe it breaks these terms, the law, or the rules of the networks and stablecoin issuers we rely on.
Third parties
Payments rely on networks and software we do not control, including the Base, Polygon, Solana and TRON networks, the USDC token issued by Circle, the USDT token issued by Tether, and wallet and exchange providers. Network outages, fees, token freezes or blacklisting by an issuer, and changes made by these parties are outside our control. Payment contracts are public and have no owner: once a payment address is created, neither you nor we can change where it pays, so make sure your payout addresses are correct.
Referral programme
Merchants with an approved Mintage Pay account can refer other businesses using the referral link in their dashboard.
- What you earn. 30% of the fee Mintage Pay earns from each business you referred, for as long as that business uses Mintage Pay. A business is your referral when it applies through your link and we approve it. A referral is recorded once and is never moved to someone else.
- When a business counts. It must pass our merchant review in a category eligible for the programme, its account must be active, and it must have had at least 5 different paying customers. Your own account must be active too.
- Payment. Earnings are added up for each calendar month and paid monthly in USDC to your payout address, once you are owed at least $20. Earnings from a business are held for 90 days after its first paid sale. Before your first payment you send us a W-9 (US) or W-8BEN (outside the US) form.
- Fraud and clawback. Referring yourself or a business you own or control (directly or through someone else), fake or self-funded sales, and any other abuse earn nothing. If we find that earnings came from fraud or abuse, even after they were paid, we cancel them and take back what was paid by deducting it from your future earnings, and we may end your participation.
- Taxes. You are responsible for any taxes on your referral earnings.
- Changes. We can change or end the programme with 30 days' notice. Earnings that are payable when it ends are still paid.
Batch payouts
Reviewed merchants can pay many recipients at once from their own wallet, using a list they upload to the dashboard.
- You are responsible for your payouts. You decide who you pay, how much and why, and you send the money from your own wallet. Mintage Pay never holds or moves it. You are responsible for the accuracy of your list, for any tax reporting and for complying with the laws that apply to you and to the people you pay.
- What we check. We check every recipient address, and your sending wallet, against the US sanctions list (OFAC SDN list of digital currency addresses), and on some networks against the token issuer's own list of frozen addresses. A listed address is never sent to. This checks addresses only. It does not check the people or businesses behind them, or where they are located, and it is not a check of countries or regions.
- Payments are final. Blockchain payments cannot be reversed. Money sent to a wrong address is lost. You pay the network fees, and on Solana the small deposit that opens a token account for a recipient who has none yet.
- Limits. We set limits on the size of a batch and may change them, or suspend batch payouts for an account, at any time.
Ending the service
You can stop at any time by disconnecting your store and paying any outstanding fees. We can end the service with 30 days' notice, or sooner if required by law or for a breach of these terms.
Liability
The service is provided as is. To the extent the law allows, our total liability for any claim is limited to the fees you paid us in the three months before the claim. We are not liable for lost profits or for losses caused by third-party networks, wallets or tokens.
Governing law
These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict of law rules.
